TERMS AND CONDITIONS OF COMMISSIONING AND REPRODUCTION OF PICTURES FROM BLUESDEN PHOTOGRAPHY
1. Definitions
In this Agreement “the terms and conditions “, the following definitions shall apply:
(a) “photograph, photographs, picture, pictures, image or images” includes but is not limited to a photograph, transparency, negative (digital or analogue), digital scan, design, artwork, painting, montage drawing, digital image file, engraving or any other item which may be offered for the purposes of reproduction.
(b) “reproduction” includes but is not limited to any form of publication or copying of the whole or part of any picture whether altered or not and whether by printing, photography, slide projection (whether or not to an audience) xerography, artist's reference, artist's illustration, layout or presentation, electronic or mechanical reproduction including on-line services, Internet or CD-ROM or storage by any other means. Or for use as artist’s reference or illustration, or in a layout or presentation. The term “to reproduce” shall be construed accordingly.
(c) “the Client” includes but is not limited to the person, persons, customer, company, firm or organisation to whom either negotiations have been conducted, a quote has been provided, an invoice has been issued (for loan, licence or purchase) or who has visited the website of Bluesden Photography and has viewed or ordered an image or images (whether or not the Client is acting for a third party).
(d) Bluesden Photography includes but is not limited to the company, Jim Selby (its owner), and any other representative, affiliate, employee or organisation or individual hired, employed or instructed to undertake work on behalf of Bluesden Photography
2. Copyright
(a) The entire copyright in the pictures is retained by Jim Selby of Bluesden Photography at all times throughout the world.
(b) Bluesden Photography supplies the technical and artistic ability to illustrate an idea photographically, and sells the right to reproduce those pictures in a given context. Pictures are supplied to the customer by way of loan only. No property or copyright in any pictures shall pass to the Client whether on its submission or on Bluesden Photography's grant of reproduction rights in respect thereof.
(c) Jim Selby asserts both his moral right to be identified as the author of his work and the right to a credit is asserted in accordance with sections 77 and 78 of Copyright, Designs and Patents Act 1988.
(d) Unless otherwise agreed in writing if any picture reproduced by the Client omits the copyright notice specified by Bluesden Photography any fee payable by the Client shall be subject to an increase specified by Bluesden Photography, and in any event an increase of not less than 25%
(e) In the event of any conflict between these terms and conditions (including those relating to the time of payment) and those issued, submitted, contained or referred to in the clients order or correspondence or elsewhere or implied by trade practice or course of dealing by the client and in the absence of any contrary agreement in writing these terms and conditions (in their entirety) shall prevail.
3. Reproduction
(a) Reproduction rights (if and when granted) are strictly limited to the use and period of time specified on Bluesden Photography’s invoice. An agreement must be reached with Bluesden Photography before the pictures are used for a different purpose or after the licence to use has expired.
(b) Reproduction rights are not issued exclusively to the Client except when specified on the invoice.
(c) Reproduction rights granted are personal to the Client and may not be assigned, nor may any picture submitted to the Client be loaned or transferred to third parties save for the purpose of the exercise by the Client of such reproduction rights
(d) Any reproduction rights granted are by way of licence and no partial or other assignment of copyright shall be implied.
(e) Bluesden Photography reserves the right to refuse to supply or grant a reproduction licence to a third party when requested to do so by the Client.
(f) Permission to reproduce a picture applies only to the reproduction described in the invoice or licence. In the event of unauthorised reproduction, the client shall pay by way of liquidated damages to Bluesden Photography an unauthorised use fee of £500 or double the standard reproduction fee for the use concerned, whichever is the greater.
(g) Any picture returned without its mount or with its caption or other mount data missing or defaced, may incur a replacement charge.
(h) The client may not alter or add to or manipulate a picture by means of a computer or any other technique or reproduce a picture in whole or in part as an element within, or as a montage with, another picture without Bluesden Photography’s written permission
4. Reproduction definitions
The following terms are used when describing the reproduction rights granted by Bluesden Photography to the Client:
(a) Internal Use only: The right to use the pictures only within a company for non-commercial purposes; publication in a free in-house magazine not normally available to the public; exhibition within the Client's premises; editorial use in the Client's intranet site.
(b) PR and Press distribution: The right to use the pictures as described in 4(a); plus a licence for third parties to reproduce such pictures in print or electronic media in an editorial context where no fee has been paid to guarantee publication.
(c) Specified Use Only: The right to use the pictures once only for the purpose as described on the invoice.
(d) Editorial: One reproduction only of pictures supplied within one print edition of the specified title in an editorial context only.
(e) Personal use: In the case the client is an individual not representing a third party or company or organisation they are granted fair use of images sold to them by Bluesden Photography. The granting of fair use does not imply or grant the further reproduction of said image or images.
5. Delivery and safe keeping of images
(a) Risk in and responsibility for any original transparencies or prints passes to the Client from the time they are received until their safe return. The Client shall immediately inform Bluesden Photography in writing of any loss or misuse of, or damage to the pictures while in the Client's possession or that of any third party. If a picture is not returned within four weeks of the date for return then Bluesden Photography may in its sole discretion presume it to be lost.
(b) The Client shall be liable to pay compensation to Bluesden Photography in respect of each picture lost or damaged. Payment of compensation does not give rise to any rights in any picture. Compensation levels for the pictures are available from Bluesden Photography upon request. These levels are a genuine pre-estimate of the loss which would be suffered if such a picture were to be lost or damaged. The Client is urged to request these figures and to take out insurance cover to cover the total value of the pictures delivered.
(c) The invoice from Bluesden Photography lists all the pictures delivered to the client using either an image number or name as a unique reference. The pictures are presumed to have been received in good condition unless the client notifies Bluesden Photography in writing of any discrepancy or error within 7 days of receipt.
(d) The Customer must return every Picture to Bluesden Photography by the specified Return Date by any method affording proof of delivery and insured to the relevant level of compensation cover. Adequate protection must be given to the Pictures in transit. A delivery note listing the returned Pictures must be enclosed and a letter listing the same information must be sent by separate post. Any Picture which has been supplied by electronic means via on-line services and stored on any electrical or magnetic storage device or by any other means shall, at the specified Return Date, be destroyed or deleted from any computer or control and or other device in the Customer's possession or control and such destruction and or deletion shall be certified in writing to Bluesden Photography by the Customer.
6. Booking conditions
(a) Once the Client has made a booking for a specific time and date, Bluesden Photography will not accept any other work from other clients for those times and dates.
(b) As a result, once a booking is made, if it is subsequently cancelled, a cancellation fee will be charged to the client according to the following schedule: When a client cancels a booking within two weeks of any confirmed date, a fee of 50% of the booked time rate will be charged. When a client cancels photography within one week of any confirmed date, a fee of 100% of the booked time rate will be charged. In addition to this cancellation fee, the client will be charged for any expenses already incurred by Bluesden Photography. These cancellation fees may be waived at the sole discretion of Bluesden Photography if a client requests a booking be postponed to another fixed date. This new booking must exactly match the existing booking.
7. Loan of images
(a) If any of the Pictures supplied shall give rise to a publication right or to any similar rights in the United Kingdom or in any other country those rights shall belong exclusively to Bluesden Photography. The Customer undertakes to do all such things and to procure that any third parties in whom such rights may otherwise vest do all such things and sign and execute all such documents as may reasonably be required to vest all such rights exclusively in Bluesden Photography.
(b) Until Bluesden Photography has invoiced the reproduction fee neither party is committed to grant or acquire any reproduction rights in any picture. After a fee has been agreed and an invoice issued there is a firm and binding contract whereby Bluesden Photography is committed to grant reproduction rights and the Client to acquire them. If after such invoicing but before payment the Client requests cancellation of the reproduction rights Bluesden Photography may in its discretion cancel subject to the Client paying a cancellation fee.
(c) The Client's right to reproduce a picture arises only when Bluesden Photography’s invoice relating to the grant of such right is fully paid (including interest charges levied on late payment of the invoice or invoices). Any reproduction before payment of the invoice constitutes an infringement of rights and a breach of this Agreement entitling Bluesden Photography to rescind the Agreement and rendering the Client liable for the payment of damages.
(d) If payment is not made in accordance with (a) above then Bluesden Photography may rescind this Agreement and recover damages, or, at its option, may exercise its statutory right to interest under the Late Payment Of Commercial Debts (Interest) Act 1998.
(e) If any invoice issued to the Client is not paid by the Due Date, then all unpaid invoices issued to the Client become due of immediate effect, even if it is less than 30 days from the issue date, and that Bluesden Photography may consider these invoices as overdue when pursuing legal action for the recovery of said debts.
(f) A fee of £17 (excluding VAT) will be made for each account reminder, duplicate invoice, or any other paperwork, correspondence or phone calls involved with the pursual of a debt. This fee is non-refundable, and represents the additional time spent pursuing overdue invoices.
(g) Bluesden Photography reserves the right to suspend ongoing services, such as (but not limited to) the Downloadable Web Page or other distribution of pictures, once any invoice issued to a Client becomes overdue, and also reserves the right to inform the reason of this to third parties to whom this suspension of service affects.
(h) Bluesden Photography does not permit ‘self-billing’ by the client and a licence to reproduce is granted only when the full fee has been agreed with, invoiced by, and paid to Bluesden Photography in accordance with 7(a) above.
8. Client death or bankruptcy
(a) On the Client's death or bankruptcy or (if the Client is a company) in the event of a Resolution, Petition or Order for winding up being made against it, or if a Receiver is appointed, Bluesden Photography may at any time thereafter inspect any records, accounts and books relating to the reproduction of its pictures to ensure that the pictures are being used only in accordance with the reproduction rights granted to the Client.
9. Content of images
(a) Bluesden Photography will edit every image taken and deliver what it considers to be the best of every situation covered. As a result, contact sheets (or their digital equivalent) will only be supplied to the client in exceptional circumstances.
(b) While Bluesden Photography has taken all reasonable care to correctly identify, caption and orientate the pictures, it does not accept any liability for loss or damage incurred by the client or any third party caused by any errors
(c) No addition to, deletion from or alteration to or adaptation of a picture may be made without the written permission of Bluesden Photography.
(d) Unless a rejection fee has been agreed in advance, there is no right to reject on the basis of style, composition or editing.
10. Proof of use
(a) In the case of printed publications, three copies of the relevant pages containing any picture supplied are to be furnished to Bluesden Photography free of charge within 14 days of publication. For other media, evidence of use must be made available if requested.
11. Indemnification
(a) While Bluesden Photography takes all reasonable care in the performance of this agreement generally, it shall not be liable for any loss or damage suffered by the Client of by any third party arising from use or reproduction of any picture or its caption.
(b) The Client agrees to indemnify Bluesden Photography in respect of any claims or damages or any costs arising in any manner from the reproduction without proper reproduction rights of any picture supplied to the Client by Bluesden Photography.
(c) The client will fully indemnify Bluesden Photography against any unauthorised reproduction of a picture submitted to the client made by any third party as a result of or arising out of any breach by the client of any of these terms and conditions (including but not by way of limitation the client allowing a picture or a copy thereof to come into the possession of a third party without Bluesden Photography’s prior written consent).
(d) It is the Client who must satisfy himself that all necessary rights, model releases or consents which may be required for reproduction, are obtained and it is acknowledged that Bluesden Photography gives no warranty or undertaking that any such rights, model releases or consents have or will be obtained whether in relation to the use of names, people, trade marks, registered or copyright designs or works of art depicted in any picture. In the event that the picture issued or reproduced by or with the authority of the Client then the Client shall indemnify Bluesden Photography against any loss or damage, proceedings or costs where such rights, releases or consents have not been obtained.
12. General
(a) This Agreement shall be subject to and constructed according to English Law and the parties agree to accept the exclusive jurisdiction of the Courts of England.
(b) No variation of terms and conditions set out herein shall be effective unless agreed in writing by both parties.
(c) Failure by Bluesden Photography to exercise or enforce any rights under these terms and conditions shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement of such rights at any time or times thereafter.
(d) Any notice under these terms and conditions shall be deemed to have been duly given if delivered by hand or sent by prepaid first class post to the party concerned at its last known address or by facsimile transmission and shall be deemed to have been received by the addressee within 48 hours of posting or 24 hours if sent by facsimile transmission to the correct facsimile number of the addressee.
13.Client confidentiality
(a) Bluesden Photography will keep confidential and will not disclose to any third parties or make use of material or information communicated to him in confidence for the purposes of the photography, save as may be reasonably necessary to enable Bluesden Photography to carry out his obligations in relation to the commission.
14. Payment
(a) Payment should normally be made by bank cheque, cash or Paypal transfer. Cheques should be crossed and made payable to "J Selby". BACS and Paypal details can be supplied upon request. Proof of postage of remittances is not considered proof of receipt, and clients are advised to send payment by any method affording proof of delivery.
(b)Our terms are strictly net 28 days (four weeks) unless agreed in advance and in writing.

(d) Any notice under these terms and conditions shall be deemed to have been duly given if delivered by hand or sent by prepaid first class post to the party concerned at its last known address or by facsimile transmission and shall be deemed to have been received by the addressee within 48 hours of posting or 24 hours if sent by facsimile transmission to the correct facsimile number of the addressee.
13.Client confidentiality
(a) Bluesden Photography will keep confidential and will not disclose to any third parties or make use of material or information communicated to him in confidence for the purposes of the photography, save as may be reasonably necessary to enable Bluesden Photography to carry out his obligations in relation to the commission.
14. Payment
(a) Payment should normally be made by bank cheque, cash or Paypal transfer. Cheques should be crossed and made payable to "J Selby". BACS and Paypal details can be supplied upon request. Proof of postage of remittances is not considered proof of receipt, and clients are advised to send payment by any method affording proof of delivery.
(b)Our terms are strictly net 28 days (four weeks) unless agreed in advance and in writing.
